Privacy
When you upload your files to a Cloud service, you trust the provider to respect your privacy. But many are hesitant to trust outside companies with their files, and not without good reason. Dropbox can see data you've stored with them.
Security
By its nature, an attack on a Cloud service can affect a huge number of people at once. The recent attack on the Playstation Network, for example, compromised the information of about 77 million people, information like email addresses, date of birth, credit card #'s, and some reports suggest it's possible the hack was pulled off with processing power provided by Amazon's Cloud service. Reliability
Even without outside attacks, Cloud services may fail. A recent example is the failure of Amazon's web services that lasted several days starting late April.
